IT IS IMPORTANT THAT YOU READ CAREFULLY AND UNDERSTAND THE FOLLOWING TERMS FOR USING THIS WING BANK APP.

I. APPLICATION AND ACCEPTANCE

1. This mobile application (“Wing Bank App”) is operated by Wing Bank (Cambodia) Plc. (“Wing, “we,” “us” or “our””).
2. These terms and conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “your”) through the account of any kind that you registered with Wing (“Wing Account”). You acknowledge that you have read these terms of use prior to your access to and use of Wing Bank App.
3. By accessing or using the Wing Bank App, you agree to be bound by all these terms of use. Wing reserves the right to change, modify, add or remove any part of these terms of use at any time and, such amendment shall be effective immediately upon posting on Wing Bank App.
4. It is your responsibility to periodically review these terms of use to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised terms and conditions by your continued use of the Wing Bank App after the date such revised terms and conditions are posted.
5. If you do not agree with these terms of use and its following amendments, your sole and exclusive remedy is to not continue the registration to Wing Bank App or stop using this Wing Bank App.
6. The information provided on the Wing Bank App is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country.
7. There may be information on the Wing Bank App that contains typographical errors, inaccuracies, or omissions, including descriptions, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Wing Bank App at any time, without prior notice.
8. Accordingly, those persons who choose to access the Wing Bank App from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

II. ACCOUNT REGISTRATION TO WING BANK APP

In order to register account to Wing Bank App, you are required to register Wing Account by providing certain information and documents including your name, gender, date and place of birth, nationality, residential address, phone number and other required information and documents (“Information”). You represent and warrant that your given Information are true, accurate and correct in all aspects for Wing to process and manage your use of Wing Bank App. Failure in providing true, accurate and correct information and documents is your own and sole responsibility. If your Information provided to Wing is no longer valid, you may request to Wing to modify such information from time to time through any available channel.

III. RESTRICTION OF USE

1. The Wing Bank App is intended allow for users who are at the legal age. Persons under the legal age are not permitted to use or register for the Wing Bank App.
2. All users who are minors in the jurisdiction in which they reside must have the permission of, and be directly supervised by, their parent or guardian to use the Wing Bank App. If you are a minor, you must have your parent or guardian read and agree to these terms and conditions prior to you using the Wing Bank App.

IV. PROHIBITED ACTIVITIES

1. You may not access or use the Wing Bank App for any purpose other than that for which we make the Wing Bank App available. The Wing Bank App may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
2. As a user of the Wing Bank App, you agree not to:

a. systematically retrieve data or other Content from the Wing Bank App to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
b. use the Wing Bank App to advertise or offer to sell goods and services.
c. circumvent, disable, or otherwise interfere with security-related features of the Wing Bank App, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Wing Bank App and/or the Content contained therein.
d. engage in unauthorized framing of or linking to the Wing Bank App.
e. trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
f. make improper use of our support services or submit false reports of abuse or misconduct.
g. engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
h. interfere with, disrupt, or create an undue burden on the Wing Bank App or the networks or services connected to the Wing Bank App.
i. attempt to impersonate another user or person or use the username of another user.
j. use any information obtained from the Wing Bank App in order to harass, abuse, or harm another person.
k. use the Wing Bank App as part of any effort to compete with us or otherwise use the Wing Bank App and/or the Content for any revenue-generating endeavor.
l. decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Wing Bank App.
m. attempt to bypass any measures of the Wing Bank App designed to prevent or restrict access to the Wing Bank App or any portion of the Wing Bank App.
n. harass, annoy, intimidate or threaten any of our employees or agents engaged in providing any portion of the Wing Bank App to you.
o. upload or transmit (or attempt to upload or to transmit) viruses or other material, including excessive use and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Wing Bank App or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Wing Bank App.
p. except as may be the result of standard search engine or internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Wing Bank App, or using or launching any unauthorized script or other software.
q. disparage, tarnish, or otherwise harm, in our opinion, us and/or the Wing Bank App.

V. USER REPRESENTATIONS AND WARRANTIES

By using the Wing Bank App, you represent and warrant that:

a. all registration information you submit is true, accurate, current, and complete;
b. you will maintain the accuracy of such information and promptly update such registration information as necessary;
c. you will use the Wing Bank App in good faith and in compliance with all applicable laws and regulations, including laws related to anti-money laundering and counter-terrorism financing;
d. you and your affiliate have the legal capacity and you agree to comply with these terms and conditions;
e. you and your affiliates are not the subject of any trade restrictions, sanctions or other legal restrictions enacted or proposed to be enacted by any country, international organization or jurisdiction;
f. you and your affiliates will not use the Wing Bank App for any illegal or unauthorized purpose, illegal activities that would likely trigger any legal restrictions;
g. You agree to indemnify us, our affiliates, directors, employees, agents and representatives and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from your breach of the terms and conditions or any other supplemental agreement with us.

VI. SERVICES AND PRODUCTS ON WING BANK APP

1. You can use services and products available on Wing Bank App only if you are the holder of valid Wing Account(s). Wing Bank App contains services and products provided by either Wing or third parties who authorized by Wing to have their services and products accessed through Wing Bank App.
2. All Wing services and products on Wing Bank App are provided “as-is” basis and shall govern by these terms of use and specific terms and conditions of each selected service and product. Your use of any services and products shall be bound by all terms and conditions as listed therein and subject to your utmost acceptance and compliance.
3. You may find services and products of third parties (any entity other than Wing) on Wing Bank App. For avoidance of doubt, the services and products of third parties on Wing Bank App are solely and primarily provided by those third parties at its discretion in accordance with the applicable laws. For this purpose, Wing is only the provider of Wing Bank App as the channel to access to each service and products of those third parties at your selection. Your use of third parties’ services and products on Wing Bank App shall be bound by these terms of use and subject to your utmost acceptance and compliance with the terms and conditions of respective service and product of those third parties.
4. We do not guarantee that the colors, features, specifications, quality and details of the service/products displayed on Wing Bank App will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colors and details of the service/products.
5. For the avoidance of doubt, all service/products are subject to availability, pricing and specifications which are solely managed and under the control of the supplier/merchant/ partner of Wing. We reserve the right to discontinue any service/products at any time for any reason.

VII. SUBMISSIONS

1. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Wing Bank App ("Submissions") provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
2. You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

VIII. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

1. Visiting the Wing Bank App, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Wing Bank App, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE WING BANK APP.
2. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or laws which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
3. You agree that notifications and messages regarding products, services and other advertisements may be sent to you or pushed under the Wing Bank App from time to time. Accepting, using or purchasing the products, services and advertisements contained in such message and notification shall be at your sole discretion and responsibility.

IX. THIRD-PARTY SITE AND CONTENT ON WING BANK APP

1. Wing Bank App may contain (or you may be sent via the Wing Bank App) links to other website ("Third-Party Site") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other Content or items belonging to or originating from third parties ("Third-Party Content").
2. Such Third-Party Site and Third-Party Content may not be investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Site through the Wing Bank App or any Third-Party Content posted on, available through, or installed from the Wing Bank App, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Site or the Third-Party Content.
3. Inclusion of, linking to, or permitting the use or installation of any Third-Party Site or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Wing Bank App and access the Third-Party Site or to use or install any Third-Party Content, you do so at your own risk, and you should be aware that these terms and conditions no longer govern your access to Third Party Site and use of Third-Party Content.
4. You should review the applicable terms and policies, including privacy and data gathering practices, of any Site to which you navigate from the Wing Bank App or relating to any applications you use or install from the Wing Bank App. Any purchases you make through Third-Party Site will be through other site and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party.
5. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Site and you shall hold us harmless from any harm caused by your purchase of such products or services. Additionally, you shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Site.

X. WING BANK APP MANAGEMENT

We reserve the right, but not the obligation, to:

a. monitor the Wing Bank App for violations of these terms and conditions;
b. take appropriate legal action against anyone who, in our sole discretion, violates the law or these terms and conditions, including without limitation, reporting such user to law enforcement authorities;
c. manage the Wing Bank App in a manner designed to protect our rights and property and to facilitate the proper functioning of the Wing Bank App.

XI. PRIVACY POLICY

By using the Wing Bank App, you agree to be bound by our Privacy Policy, which is incorporated into these terms and conditions. Privacy Policy may be amended from time to time, at our sole discretion.

XII. IN-APP NOTIFICATION

We may blast information about new or updated products or services, marketing, promotions, and other information about Wing to you through in-app notification. We encourage you to turn on in-app notification so that you will stay up-to-date and alerted for the subject matter contain in that in-app notification.

XIII. SECURITY

1. You shall take responsibility for and use your best endeavours to prevent any unauthorized use of, and access to Wing Bank App on your mobile phone or other devices and to protect your personal information and security information including username, password, PIN code and one-time password (OTP) at all times.
2. You must notify Wing immediately upon being aware of:

a. Your mobile device is lost or stolen; b. Your security information has become known or may be known by another person;
c. Another person may be able to unlock your mobile device and Wing Bank App;
d. There has been unauthorized access to your account through Wing Bank App; and
e. You notice that Wing Bank App is requesting you to re-activate the application, which means that Wing Bank App is being activated with your security information on other devices.

XIV. DISPUTE RESOLUTION POLICY

1. You agree that any complaint or dispute arising in connection with Wing Bank App will be handled in accordance with Dispute Resolution Policy, and we shall have the full right and power to make a determination for such dispute or to delegate or sub-contract such power to another party.
2. You agree not to hold us and our affiliates liable for any material which is untrue or misleading. You agree to release and indemnify us (and our agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such dispute.

XV. INTELLECTUAL PROPERTY

1. Unless otherwise indicated, the Wing Bank App is our proprietary property and all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics on the Wing Bank App (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us.
2. The Content and the Marks provided on the Wing Bank App are on “AS IS” basis and those are for your information and personal use only. Except as expressly provided in these terms and conditions, no part of the Wing Bank App and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written consent.
3. Provided that you are eligible to use the Wing Bank App, you are granted a limited license to access the Wing Bank App and use the Wing Bank App and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal and non-commercial use.

XVI. LIMITATIONS OF LIABILITY

In no event will we or our director, employees or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special or punitive damages including but not limited to loss of profit, loss of revenue, loss of data or other damages arising from your use of the Wing Bank App, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the service fee charged by us.

XVII. MODIFICATIONS AND INTERRUPTIONS

1. We reserve the right to change, modify, or remove the Content of the Wing Bank App at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Wing Bank App. We also reserve the right to modify or discontinue all or part of the Wing Bank App without notice at any time.
2. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Wing Bank App.
3. We cannot guarantee the Wing Bank App will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Wing Bank App, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Wing Bank App at any time or for any reason without notice to you.
4. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Wing Bank App during any downtime or discontinuance of the Wing Bank App. Nothing in these terms and conditions will be construed to obligate us to maintain and support the Wing Bank App or to supply any corrections, updates, or releases in connection therewith.

XVIII. MISCELLANEOUS

1. These terms and condition and any policies or operating rules posted by us on the Wing Bank App or in respect to the Wing Bank App constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these terms and conditions shall not operate as a waiver of such right or provision.
2. These terms and conditions operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.
3. If any provision or part of a provision of these terms and conditions is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these terms and conditions and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these terms and conditions or use of the Wing Bank App.

XX. GOVERNING LAW AND JURISDICTION

1. These terms and conditions are governed and construed in accordance with the laws of the Kingdom of Cambodia.
2. All disputes, controversies or differences which may arise in connection with the implementation of these terms of use shall be settled through amicable negotiation. If the parties fail to reach the agreement, the dispute case shall be brought to the exclusive court of Cambodia.

Introduction

Wing Bank (Cambodia) Plc. (“Wing, we, us or our”) understands that your privacy is very important to us. We respect your privacy and commit to protecting it through our compliance with this Privacy Policy.

This Privacy Policy aims at providing you with the knowledge on how Wing collects and manages your data/information as you interact with Wing, although through direct or indirect channel. You acknowledge that you have read this Privacy Policy prior to interacting with Wing for any matter.

Your access and continue interacting with Wing deems acceptance of this Privacy Policy.

We reserve the right to make changes to this Privacy Policy at any time and for any reason. We will alert you about any changes by updating the “Last Update” of this Privacy Policy. Any changes or modifications will be effective immediately upon posting the updated Privacy Policy on the Wing Bank App and other applicable channels, and you waive the right to receive specific notice of each such change or modification.

You are encouraged to periodically review this Privacy Policy to stay informed of updates. You will be deemed to have been made aware of, will be subject to, and will be deemed to have accepted the changes in any revised Privacy Policy by your continued use of the Wing Bank App after the date such revised Privacy Policy is posted.

What information do we collect?
Personal Information

We collect certain information from you, including your name, billing address, shipping address, payment information email address, and phone number that you voluntarily give to us when you register Wing Bank Appand/or access to Wing Bank App or when you choose to participate in various activities related to the Wing Bank App.

Third-Party Data

Information from third parties, such as personal information or network friends, if you connect your account to the third party’s platform and grant the Wing Bank App permission to access this information.

Device Information

When you visit the Wing Bank App, our system will automatically collect certain data/information about your device, including but not limited to information about your web browser, IP address, time zone, and some of the cookies that are installed on your device.

Additionally, as you browse the Wing Bank App, we collect information about the individual web pages or products that you view, what websites or search terms referred you to the Wing Bank App, and information about how you interact with the Wing Bank App.

Financial Data

Financial information, such as data/information related to your payment method (e.g. valid credit/debit card number, card brand, expiration date) that we may collect when you make transaction, purchase, order, return, exchange, or request information about our services from the Wing Bank App.

Mobile Application Information

If you connect using our mobile application:

1. Geo-Location Information. We may request access or permission to and track location-based information from your mobile device, either continuously or while you are using our mobile application, to provide location-based services. If you wish to change our access or permissions, you may do so in your device’s settings.
2. Mobile Device Access. We may request access or permission to certain features from your mobile device, including your mobile device’s [bluetooth, calendar, camera, contacts, microphone, reminders, sensors, SMS messages, social media accounts, storage,] and other features. If you wish to change our access or permissions, you may do so in your device’s settings.
3. Mobile Device Data. We may collect device information (such as your mobile device ID, model and manufacturer), operating system, version information and IP address.
4. Push Notifications. We may request to send you push notifications regarding your account or the Application. If you wish to opt-out from receiving these types of communications, you may turn them off in your device’s settings.

How we collect the data?

This Privacy Policy applies to data/information we collect from you when you interact with Wing, directly or indirectly, through the following channels or other channels as may be applicable from time to time (“Wing Bank App”):

1. Wing Bank App: We collect information when you retrieve Wing Bank App, sign up Wing Bank App, request for services and products available on Wing Bank App, performing transactions on Wing Bank App and undertaking other activities on Wing Bank App.
2. Event: We collect information you provide to us when participating in any interactive features, contests, promotions, marketing campaigns and other activities and events related to Wing Bank App.
3. Third party: We collect data/information about you from third parties who are authorized by you to disclose such data to Wing on behalf of yourself for processing the transactions or accessing to Wing Bank App for your benefits.
4. Other channels as may be applicable from time to time.

How we use your data?

We use your data for various purposes including but not limited to:

1. Respond to your requests, comments and questions and provide customer service;
2. Monitor and analyze trends, usage and activities in order to operate and improve our Wing Bank App, if any;
3. Manage your registered account and send you notification, notice, update, alert, support and message related to your use of services and products of Wing or third parties, technical, promotional, security and other matters;
4. understand your needs and provide you with a better service and improve our services and products;
5. administer, monitor and on-going manage the services and products provided by Wing or third party on Wing’s distributed channels;
6. develop, deploy, manage, support and invoice for the services and products provided by Wing or third party on Wing’s distributed channels;
7. Compile aggregate data and analysis for use internally or with third parties;
8. Create and manage your account;
9. Deliver targeted advertising, coupons, newsletters, and other information regarding promotions and the Wing Bank App to you;
10. Send you an email regarding your account or order;
11. Enable user-to-user communications;
12. Fulfill and manage purchases, orders, payments, and other transactions related to Wing Bank App.
13. Generate a personal profile about you to make future visits to the Wing Bank App more personalized;
14. Increase the efficiency and operation of the Wing Bank App;
15. Monitor and analyze usage and trends to improve your experience with the Wing Bank App;
16. Notify you of updates to Wing Bank App;
17. Offer new products, services and/or recommendations to you;
18. Prevent fraudulent transactions, monitor against theft, and protect against criminal activity;
19. Process payments and refunds;
20. Request feedback and contact you about your use of the Wing Bank App;
21. Resolve disputes and troubleshoot problems;

23. retain for internal records in order to comply with the applicable laws;

How we share the data?

Without a need to obtain your consent, Wing may disclose your data as the following:

1. Our employees, officers, commercial partners and agents to the extent as reasonably necessary for the purposes as set out in this Privacy Policy;
2. Our affiliates, in which case we will require those affiliates to honor this Privacy Policy. Affiliates include our parent company and any subsidiaries, joint venture partners or other companies that we control or that are under common control with us.
3. The vendors, consultants, sub-contractors and other service providers who need access to such data/information to carry out operation/transaction on Wing Bank App;
4. In response to a request for data if we believe disclosure is in accordance with any applicable law, regulation or legal process, or as otherwise required by any applicable law, rule or regulation;
5. In connection with any merger and acquisition of Wing, sale of company assets of all or a portion of our business to another company or similar transactions;
6. We may also share aggregated or de-identified information, which cannot reasonably be used to identify you to any person at the discretion of Wing;
7. government officers in response to the specific requests;
8. the regulators in order to fulfill our disclosure obligation to the extent that we are required to do so by laws;
9. the competent court or dispute resolution forum in connection with any legal proceedings or prospective legal proceedings;
10. any person in order to establish, exercise or defend our legal rights (including providing information to others for the purpose of fraud prevention);

Wing will not disclose your data/information to any third parties other than for the purpose as specified in this Privacy Policy, except that you provide consent for us to make such disclosure.

Third-Party Service Providers

We may share your data/information with third parties that perform services for us or on our behalf, including payment processing, data analysis, email delivery, hosting services, customer service, and marketing assistance.

Interactions with Other Users

If you interact with other users of the Wing Bank App, those users may see your name, profile photo, and descriptions of your activity, including sending invitations to other users, chatting with other users, liking posts, following blogs.

When you post comments and conten, contributions or other content which allowed by Wing to the Wing Bank App, your posts may be viewed by all users and may be publicly distributed outside the Wing Bank App in perpetuity.

Security of Your Information

We use administrative, technical, and physical security measures to help protect your personal information. While we have taken reasonable steps to secure the personal information you provide to us, please be aware that despite our efforts, no security measures are perfect or impenetrable, and no method of data transmission can be guaranteed against any interception or other type of misuse.
